Most owners learn their LLC was cancelled the wrong way: a bank freeze, a denied loan, a contract that gets rejected because the state shows the entity as inactive. The good news is the law gives you a path back — Virginia gives you five years.

The catch is that every year you wait costs more. The state charges $50 in back registration plus a $25 late penalty for each year the LLC was non-compliant, stacked on top of the $100 reinstatement filing fee. After year five, the entity is permanently dissolved and you'd have to form a new one — losing the formation date, the EIN history, and often the bank account.

Reinstatement relates back to the cancellation date. Once accepted, the SCC treats the LLC as if the lapse never happened.

Who can use this service?

Owners of LLCs that have been administratively cancelled, dissolved, or revoked by their state of formation. If your filing receipt or a state search shows your LLC as inactive, terminated, or 'not in good standing,' reinstatement is what you need.

What does Virginia's five-year rule mean?

Under Va. Code § 13.1-1050.4, you have up to five years from administrative cancellation to reinstate. Miss the five-year window and the LLC is gone for good — you'd have to form a new entity and re-establish bank accounts, contracts, and EIN history.

Why does the cost rise each year of inactivity?

You owe the state for every missed annual registration ($50 in Virginia) plus a $25 late penalty per year, on top of the $100 reinstatement fee. Two years cancelled is roughly $75 more than one. Five years is roughly $375 in state fees alone.

What gets restored when you reinstate?
