The catch is that every year you wait costs more. The state charges $50 in back registration plus a $25 late penalty for each year the LLC was non-compliant, stacked on top of the $100 reinstatement filing fee. After year five, the entity is permanently dissolved and you'd have to form a new one — losing the formation date, the EIN history, and often the bank account.
Reinstatement relates back to the cancellation date. Once accepted, the SCC treats the LLC as if the lapse never happened.
